Terms of Service
Effective date: August 31, 2026. Last updated: August 31, 2026.
These Terms of Service (the “Terms”) form a binding agreement between BrightDwell Inc., a New Jersey corporation with its principal office at 300 Birchfield Dr, Mt Laurel Township, NJ 08054 (“BrightDwell,” “we,” “us”), and you. They cover this website and every referral we make. By requesting a referral, submitting the contact form, joining our referral list, or accepting a referral, you agree to these Terms. If you do not agree, do not use the service.
1. What BrightDwell is
BrightDwell operates an online referral platform that connects homeowners and other private households (“Clients”) with independent, self-employed cleaning professionals (“Professionals”) for residential cleaning, including recurring house cleaning and move-in or move-out cleans. We earn a referral fee for each successful match.
We are a referral service and nothing else. We are not a cleaning company, an employment agency, a staffing agency, a payment processor, an escrow agent, or a party to any agreement between a Client and a Professional.
2. What BrightDwell does not do
- We do not perform cleaning services and we do not enter homes.
- We do not employ, contract with, supervise, train, schedule, direct or control Professionals. Professionals are not our employees, agents, partners or joint venturers.
- We do not set the price of any cleaning, do not sign any cleaning contract, and do not collect or process payments between Clients and Professionals. Clients pay Professionals directly. We invoice our own referral fee only.
- We do not provide, endorse or guarantee the workmanship, punctuality, honesty, licensing, bonding or insurance coverage of any Professional.
- We do not guarantee that a suitable Professional will be available for any request, date, or location.
3. Eligibility
You must be at least 18 years old and able to form a binding contract. Clients must be the owner, tenant or authorized occupant of the property, or have the property owner’s permission to arrange cleaning. Professionals must be lawfully self-employed and lawfully permitted to work in the United States. We refer only for residential property, and we do not refer for commercial or office cleaning.
4. How a referral works
- You describe the household, the cleaning you want, and your location.
- We pass your request and your contact details to one or more Professionals whose availability and type of work appear to fit, and we pass their details to you.
- You and the Professional deal with each other from that point. You agree the scope, the schedule, the rate, the supplies and the cancellation terms between yourselves.
- A referral is “successful” and our fee becomes payable when a Client and a Professional we introduced agree to a cleaning engagement, whether or not the first clean has taken place.
We may decline or withdraw any referral at our discretion, including where a request falls outside our service area or the information given to us is inaccurate.
5. Referral fees and invoicing
Our current referral fee is disclosed in writing before a match is made. The fee is charged per successful match, not per clean, and we take no commission on any cleaning payment. We invoice the party identified as responsible for the fee at the time of the match.
Invoices are payable within 14 days of the invoice date unless the invoice states otherwise. Late amounts accrue interest at 1.5% per month, or the maximum rate permitted by New Jersey law if lower, and you are responsible for reasonable costs of collection, including attorneys’ fees where permitted. Fees exclude any applicable taxes, which are your responsibility unless we are required to collect them.
We do not store card or bank account credentials on this website. Invoices are settled by the methods stated on the invoice.
6. Client responsibilities
- Confirm for yourself the identity, references, licensing, bonding and insurance of any Professional before granting access to your home. We furnish only the information a Professional gives us, and we do not verify it beyond what is described to you at the time.
- Agree the scope, price, schedule and cancellation terms with the Professional in writing.
- Provide safe, lawful access to the property, and disclose hazards, pets, security systems and any other person present.
- Secure valuables, cash, medication and confidential documents.
- Pay the Professional directly and on the terms you agreed with them.
- Comply with all applicable law regarding anyone you engage, including tax reporting obligations that may apply to household services.
7. Professional responsibilities
- You act as an independent business. You control your own hours, rates, methods, equipment, supplies and helpers, and you may accept or decline any referral.
- You are solely responsible for your own registrations, permits, licenses, tax filings and payments, including self-employment tax, and for any insurance you choose to carry. Nothing here creates an employment relationship with BrightDwell.
- You are responsible for the accuracy of everything you tell us about your service area, availability, experience, insurance and legal status, and for updating it.
- You contract directly with the Client, invoice the Client directly, and collect payment from the Client.
- You will not present yourself as an employee, agent or representative of BrightDwell, and you will not use our name or marks to imply that we supervise or warrant your work.
8. Relationship of the parties
Nothing in these Terms creates an employment, agency, partnership, joint venture or franchise relationship between BrightDwell and any Client or Professional. No party may bind another. Any agreement for cleaning is solely between the Client and the Professional, and we are not a party to it, a guarantor of it, or a third-party beneficiary of it.
9. Cancellations, complaints and disputes between users
Cancellation, rescheduling, refunds, re-cleans, property damage and payment disputes are matters between the Client and the Professional under the terms they agreed. We are not an arbitrator of those disputes and we do not hold funds, so we cannot reverse a payment or compel a re-clean.
Tell us if a match did not work. Where we can, we will offer another referral. If a Professional or Client behaves unlawfully or unsafely, we may remove them from our referral list.
10. Acceptable use
You agree not to use the service to harass, discriminate against or defraud anyone, to submit false information, to solicit for unrelated commercial purposes, to scrape or copy our content or contact lists, to circumvent our referral fee by concealing a match, or to interfere with the operation or security of this website.
11. Feedback and content you send us
You keep ownership of what you send us. You grant BrightDwell a non-exclusive, royalty-free license to use feedback, comments and testimonials you provide for operating and promoting the service. If you ask us in writing to stop using a testimonial, we will remove it from material we control within a reasonable period.
12. Our intellectual property
The BrightDwell name, logo, website text, layout and graphics belong to BrightDwell Inc. or its licensors. You may not copy, adapt or republish them without our written permission.
13. Disclaimers
The service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, BrightDwell disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, workmanlike performance and non-infringement, and disclaims any warranty regarding the conduct, competence, timeliness or trustworthiness of any Client or Professional.
We do not warrant that the website will be uninterrupted or error free, and we may change, suspend or discontinue any part of the service.
14. Limitation of liability
To the fullest extent permitted by law, BrightDwell, its officers, directors and personnel are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost data, property damage, personal injury, theft or loss of goodwill, arising out of or relating to the service or to any act or omission of a Client or Professional, whether based in contract, tort, statute or otherwise, and whether or not we were advised of the possibility of such damages.
Our total aggregate liability for all claims relating to the service is limited to the greater of the referral fees you actually paid to BrightDwell in the twelve months before the event giving rise to the claim, or one hundred United States dollars (USD 100).
Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you. Nothing here limits liability that cannot be limited by law.
15. Indemnification
You agree to defend, indemnify and hold harmless BrightDwell Inc. and its officers, directors and personnel from and against any claim, demand, loss, liability, damage, fine or expense, including reasonable attorneys’ fees, arising out of your use of the service, your breach of these Terms, your dealings with a Client or Professional, the cleaning services performed or not performed, or your violation of any law or of the rights of a third party.
16. Term and termination
These Terms apply while you use the service. We may suspend or terminate your access at any time, with or without notice, including for breach of these Terms. Sections 5, 8, and 11 through 19 survive termination, together with any fee already payable.
17. Changes to these Terms
We may update these Terms. The current version is always posted here with its effective date. Material changes take effect for referrals requested after the new effective date. Continuing to use the service after that date means you accept the updated Terms.
18. Governing law and venue
These Terms and any dispute arising from them are governed by the laws of the State of New Jersey, without regard to its conflict of laws rules. You and BrightDwell agree to the exclusive jurisdiction and venue of the state courts located in Burlington County, New Jersey, or the United States District Court for the District of New Jersey, and each party waives any objection to that venue.
19. Before you file a claim
Contact us first at info@btdwell.com with a description of the issue and the outcome you want. We will respond within 30 days and try to resolve it directly. Either party may bring a qualifying claim in small claims court instead.
20. General
If any provision is held unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with our Privacy Policy and any written fee disclosure, are the entire agreement between you and BrightDwell regarding the referral service.
